BJ DIGITAL Reduces Independent Directors’ Annual Fee to RMB0.12 million

Beijing Digital Telecom Co., Ltd. (BJ DIGITAL) issued a supplemental announcement on 26 August 2026 revising the remuneration package disclosed in its 11 August 2026 Extraordinary General Meeting (EGM) circular.

The annual remuneration for independent non-executive directors of the Group’s sixth Board session will be reduced to RMB0.12 million (before tax) from the previously proposed RMB0.18 million (before tax). The adjustment reflects the directors’ duties, responsibilities, and prevailing market conditions.

Compensation arrangements for executive and non-executive directors remain unchanged. These directors will continue to receive remuneration aligned with their senior management or other concurrent positions within the Group, with no additional pay for serving on the Board.

All other details in the EGM circular, EGM notice and proxy form remain intact. The Board is currently composed of four executive directors (Xu Jili, Xu Liping, Liu Liang and Liu Donghai—duties suspended), two non-executive directors (Jia Zhaojie and Pan Anran), and three independent non-executive directors (Lv Tingjie, Lv Pingbo and Cai Chun Fai).
