Ganfeng Lithium Appoints New INED, Reshuffles Board Committees as Two Directors Retire

Ganfeng Lithium Group Co., Ltd. announced a series of board changes aimed at maintaining compliance with Hong Kong listing regulations and refreshing its governance structure.

Key Developments

1. Appointment of Independent Non-Executive Director (INED) • Shareholders elected Mr. Xu Jianzhang as an INED of the sixth board session at the extraordinary general meeting on 11 March 2026. • Mr. Xu meets all independence requirements under Rule 3.13 of the Hong Kong Listing Rules and currently holds no shares, executive positions, or directorships within the Group or any other listed entity.

2. Board Committee Realignment • Effective 23 March 2026, Mr. Xu Jianzhang also becomes chairperson of the Remuneration and Assessment Committee, succeeding Ms. Xu Yixin.

3. Retirement of Directors • Ms. Xu Yixin retired as INED and chairperson of the Remuneration and Assessment Committee upon expiry of her term on 23 March 2026. • Mr. Xu Guanghua, an INED since 24 March 2020, will retire upon the election of a new INED at the next general meeting, ending a six-year tenure. He will continue to serve as chairperson of the Nomination Committee and as a member of the Audit Committee until his retirement takes effect.

4. Succession Planning • The Board is actively identifying candidates to fill the upcoming INED vacancy created by Mr. Xu Guanghua’s departure and will announce an appointment as soon as practicable.

¹ Mr. Xu Guanghua will remain an INED until the next general meeting.
