Watlow Electric Manufacturing Company (the Offeror) and Genes Tech Group Holdings Company Limited (8257) jointly announced that on 20 February 2026 (Cayman Islands time), the Grand Court sanctioned the proposed scheme of arrangement under Section 86 of the Companies Act for taking Genes Tech Group Holdings Company Limited private. According to the announcement, the scheme is expected to become effective on 27 February 2026 (Cayman Islands time), subject to the remaining conditions being fulfilled or waived.
The company has also applied for and obtained approval from the Stock Exchange to withdraw its listing on GEM. The listing of the company’s shares on GEM is scheduled to be withdrawn at 4:00 p.m. on 3 March 2026, conditional on the scheme becoming effective by that date. All conditions already met remain subject to ongoing compliance until the effective date.
