Capital Management Proposals 1. Share Buy-Back Mandate: Directors seek authority to repurchase up to 10% of issued shares on-market during the “Relevant Period”—defined as lasting until the next AGM, the statutory deadline for that meeting, or earlier revocation by shareholders. 2. General Issuance Mandate: Approval requested to allot or issue new shares, or grant convertible or option rights, equivalent to a maximum of 20% of the company’s issued share capital (excluding treasury shares), again limited to the Relevant Period and subject to customary exclusions for rights issues, scrip dividends and existing convertible instruments. 3. Capital Reduction: A special resolution proposes reducing the credit standing of the share capital account by HK$6.97 billion, transferring the sum to a capital reduction reserve to be treated as realised profit under Section 214 of the Companies Ordinance. The reduction becomes effective provided no court challenge is made within five weeks of approval, or, if challenged, once confirmed by the Court of First Instance.
Corporate Governance Enhancements • Adoption of revised Articles of Association, subject to shareholder approval, with authority granted to any director or the company secretary for requisite regulatory filings.
Board Changes • Directors up for election or re-election: Ronald Lam, Lavinia Lau, Liu Tiexiang, Gordon McCallum, Alexander McGowan, Christoph Mueller, Merlin Swire and Xiao Feng. • Patrick Healy and Sun Yuquan will retire at the conclusion of the AGM and will not seek re-election.
