Cinese International Group Holdings Limited has announced plans to overhaul its existing Memorandum and Articles of Association.
Key elements of the proposal • Hybrid and electronic meetings: The revised constitution would formally allow both hybrid and fully virtual shareholder meetings, broadening participation channels.
• Electronic voting: Shareholders would be able to cast votes electronically, modernising engagement and aligning procedures with prevailing market practice.
• Listing Rules alignment: Additional wording updates are intended to keep the company’s governing documents consistent with current Hong Kong Listing Rules and related regulatory requirements.
• Housekeeping changes: Other consequential and administrative edits will be incorporated into a single “New Memorandum and Articles” that consolidates all revisions.
Approval process The proposed amendments require approval by special resolution at the forthcoming annual general meeting. If approved, the New Memorandum and Articles will take effect immediately following the vote. A detailed circular outlining the amendments and the AGM notice will be dispatched to shareholders in due course.
