Scholar Education Group (1769) Announces EGM to Refresh Scheme Mandate Limit and Service Provider Sublimit

Scholar Education Group (1769) has scheduled an extraordinary general meeting (EGM) for 13 March 2026 at 10:30 a.m., to be held at 43/F, Shenrun Building in Shenzhen. The board seeks approval for a proposal to refresh the mandate limit under its 2024 share scheme. The existing limit of 55.57 million shares, representing 10.00% of issued shares on 27 February 2024, has been fully utilized due to new grants and replacement of certain previously issued share options. If approved, the refreshed 10.00% limit would stand at an estimated 67.38 million shares, based on the Company’s total 673.78 million shares in issue as of the latest practicable date.

Alongside this, the Company is also requesting a refreshed 1.00% sublimit for service providers, which would amount to around 6.74 million shares. The board believes these measures allow continued flexibility to grant new awards under the share scheme, motivating personnel and potential service providers. Shareholders, including those unable to attend in person, are advised to review the details in the circular and submit their votes or proxies before the deadline outlined in the EGM notice.
