Jilin Jiutai Rural Commercial Bank (Stock Code: 6122) Announces Voluntary General Cash Offers Becoming Unconditional and Plans for H Share Delisting

Jilin Financial Holding Group Co., Ltd. and Jilin Jiutai Rural Commercial Bank Corporation Limited (Stock Code: 6122, “the Bank”) jointly announced that the voluntary conditional general cash offer for all issued H Shares and Domestic Shares in the Bank has become unconditional in all respects. According to the announcement dated 24 October 2025, valid acceptances of the H Share Offer reached approximately 94.18% of the total H Shares held by Independent H Shareholders as of the first closing date. Meanwhile, valid acceptances of the Domestic Share Offer accounted for about 72.51% of the total issued Domestic Shares.

Poll results from the Extraordinary General Meeting and the H Share Class Meeting held on 24 October 2025 showed that the special resolutions relating to the withdrawal of listing obtained the required approvals. Following these meetings and the attainment of minimum acceptance thresholds, the Offers have satisfied all conditions. Independent Shareholders who have not yet tendered acceptances have until 21 November 2025 to submit their instructions before the Offers close.

The Bank has applied to the Stock Exchange for voluntary withdrawal of the listing of its H Shares. The last day of trading is anticipated to be 18 November 2025, with the delisting of H Shares expected to take effect at 4:00 p.m. on 24 November 2025. Trading in the Bank’s H Shares on the Stock Exchange has been suspended since 12 March 2025 and will remain suspended until further notice.

The announcement reiterates that the Bank will no longer be subject to the Listing Rules once the H Shares are withdrawn from the Stock Exchange. Any remaining shareholders who do not accept the H Share Offer may hold unlisted shares, where liquidity could be significantly reduced.
