CAI CORP to Issue 430 Million Shares to Controlling Shareholder at 10% Premium

CAI CORP (00080) announced that on May 29, 2026, the company entered into a subscription agreement with Longling Capital. The agreement involves issuing 430 million subscription shares to Longling Capital at a price of HK$0.33 per share. This represents an approximate 10.0% premium over the closing price of HK$0.30 on the same day. The net proceeds from the subscription are expected to be around HK$141.4 million. Of these proceeds, 95% will be allocated towards investments in listed and unlisted securities of companies primarily focused on the artificial intelligence (AI) and Web3 industries. The remaining 5% will be used for general working capital requirements. Longling Capital is wholly owned by Mr. Cai Wensheng, who is the ultimate controlling shareholder of the company.
