Chinlink International Holdings Limited (“Chinlink Intl”) has released details of a plan to overhaul its corporate governance framework through a full revision of its bye-laws.
Key proposed changes: 1. Hybrid and electronic general meetings: The draft provisions will allow shareholders to attend and vote either physically, electronically, or through a combination of both formats. 2. Electronic voting: The amendments explicitly permit electronic voting mechanisms, expanding participation options for shareholders. 3. Uncertificated securities regime: New clauses will align the company with the Securities and Futures (Uncertificated Securities Market) Rules, paving the way for paperless shareholding and transfer. 4. Housekeeping updates: Additional technical and wording refinements are included to ensure consistency with current regulatory standards.
Implementation timetable: • Shareholder approval is required by special resolution at the Annual General Meeting scheduled for 30 September 2026. • The new bye-laws will take effect immediately upon shareholder approval. • A circular outlining the full text of the changes and the AGM notice will be dispatched in due course.
Board composition (as of 1 September 2026): • Executive Directors: Li Weibin (Chairman), Siu Wai Yip • Non-executive Director: Kwok Chi Lap • Independent Non-executive Directors: Dr. Ho Chung Tai Raymond, Lai Ka Fung May, Chan Sim Ling Irene
The proposed revisions underscore Chinlink Intl’s intent to modernize its governance structure in line with evolving market practices and Hong Kong regulatory requirements.
