Shanghai Fudan Microelectronics (1385.HK) Announces Abolition of Supervisory Committee and Proposed Changes to Articles of Association

Shanghai Fudan Microelectronics Group Company Limited (1385.HK) announced the decision to abolish its Supervisory Committee and transfer its supervisory functions to the Board’s Audit Committee. According to the announcement, this move aligns with relevant provisions of the People's Republic of China Company Law and updated corporate governance guidelines. The rules of procedure and regulations concerning the Supervisory Committee will be annulled, and the positions of its chairman and supervisors will be removed upon approval by the shareholders’ general meeting.

The company also disclosed plans to amend its Articles of Association. Changes include removing all references to the Supervisory Committee while specifying the Audit Committee’s expanded responsibilities. The company intends to adopt a new set of Articles of Association that reflects updates in share capital following the A Shares Restricted Share Incentive Scheme, conforms to Hong Kong Listing Rules requirements, and streamlines corporate governance clauses.

Alongside these measures, the company proposes amendments to several internal regulations and systems, including rules of procedure for general meetings and the Board of Directors. The revised documents are subject to shareholder approval at the forthcoming general meeting. A circular detailing the updated Articles of Association and related documents will be dispatched in due course.
