KO YO GROUP: Shareholders Back All AGM Resolutions with Unanimous Support

Ko Yo Chemical (Group) Limited (KO YO GROUP) secured full shareholder endorsement at its Annual General Meeting held on 28 May 2026, with every one of the seven proposed ordinary resolutions approved by a 100% affirmative vote.

A total of 1.57 billion shares—representing approximately 22.29% of the company’s 7.03 billion shares in issue—were voted by poll at the meeting. Union Registrars Limited acted as the scrutineer.

Key resolutions passed:

• Financial Reports: Shareholders adopted the audited consolidated financial statements, directors’ and auditors’ reports, the environmental, social and governance report, and the corporate governance report for the year ended 31 December 2025.

• Board Composition: Executive Directors Mr Tang Guoqiang and Mr Fan Chao, along with Independent Non-Executive Director Mr Xu Congcai, were re-elected.

• Remuneration & Auditor: The Board received authority to determine directors’ remuneration, while ZHONGHUI ANDA CPA Limited was re-appointed as auditor with the Board authorised to fix its fees.

• Capital Management: Shareholders granted general mandates for the Board to issue new shares, repurchase shares, and extend the issuance mandate by the amount of shares repurchased.

All six directors—Mr Tang Guoqiang, Mr Fan Chao, Mr Zhang Weihua, Mr Xu Congcai, Mr Le Yiren and Ms Lu Yi—were present at the meeting. No shares were subject to voting restrictions or abstentions, and no votes were cast against any resolution.
