Puya Semiconductor(Shanghai)Co.,Ltd. (688766.SH) announced its intention to acquire a 49% stake in Noah Changtian from Zhuhai Nuoyan, Yuanhe Puhua, and Hengqin Qiangke through issuing shares, convertible bonds, and cash payments, while also raising supporting funds. Upon completion of the transaction, Noah Changtian will become a wholly-owned subsidiary of the listed company, and the target company SHM will become its wholly-owned subsidiary.

This acquisition represents the listed company's move to purchase minority stakes in its controlled subsidiary Noah Changtian. The transaction is expected to strengthen Puya Semiconductor's non-volatile memory product portfolio, enhance its control over SHM, and improve the company's sustainable profitability and risk resilience. The scope of the company's core business operations will remain unchanged before and after the transaction.
