BlockFin Appoints Suya WWC CPA After Audit-Fee Standoff with Baker Tilly

BlockFin Holdings Limited announced a switch of auditors after failing to agree 2026 audit fees with incumbent Baker Tilly Hong Kong (BTHK). BTHK resigned on 24 July 2026, before starting any 2026 audit work. The board expects no material impact on the preparation or release of full-year 2026 results. Suya WWC CPA Limited has been appointed the new auditor with immediate effect and will serve until the next annual general meeting.

Fee negotiations triggered the change. In April 2026 BTHK quoted HK$1.00–1.20 million for the 2026 audit plus interim review. Despite BlockFin’s smaller operating scale and ongoing cost-control programme, BTHK’s “best and final” offer settled at HK$1.08 million—17% below the HK$1.30 million paid for 2025 but still above rival bids. Suya proposed HK$0.76 million for the same scope, while another firm quoted HK$0.98 million solely for the year-end audit. The Audit Committee concluded Suya’s price better reflected the Group’s downsized operations without compromising audit quality.

The selection process spanned April to July 2026. After reviewing proposals, management and the Audit Committee met Suya in early July to assess its audit plan, team resources and timetable. On 22 July the Audit Committee recommended Suya’s appointment should negotiations with BTHK fail; BTHK’s resignation two days later created the vacancy, which Suya has now filled.

In its due-diligence review, the Audit Committee noted that Suya is an Accounting and Financial Reporting Council (AFRC)–registered Public Interest Entity auditor with five partners and eight listed-company audit clients. The designated engagement partner holds more than 10 years’ Main Board and GEM experience. No independence issues or public disciplinary records were identified.

Suya’s timetable foresees planning and opening-balance work from October to December 2026, fieldwork between January and March 2027, results announcement in late March 2027 and annual-report publication in late April 2027.

BTHK’s resignation letter cited: (1) its 2025 disclaimer of opinion, (2) prior scope limitations on comparability, and (3) the unresolved 2026 fee as the only matters to note. The board and Audit Committee confirmed no other disagreements with BTHK and expressed appreciation for its past service.

BlockFin’s auditor transition aligns with the Group’s broader cost-control measures introduced in 2025 to bolster liquidity and maintain going-concern status.
