Timeless Resources Holdings Limited announced the appointment of Dr. Chung Wai Keung David as an independent non-executive director (INED) and member of the Audit, Nomination and Remuneration Committees, effective 5 May 2026.

Dr. Chung, aged 60, brings more than 38 years of information-technology strategic management and entrepreneurship experience. His current roles include senior management positions in two subsidiaries of Yee Hop Holdings Limited and an independent directorship at Nasdaq-listed Real Messenger Corporation. From 2016 to 2022, he served two terms as Under Secretary for Hong Kong’s Innovation, Technology and Industry Bureau and was previously Chief Technology Officer at Hong Kong Cyberport Management Company Limited.

Compensation and Term • Annual director’s fee: HK$0.15 million, accrued daily and paid quarterly. • Initial term: one year from 5 May 2026, renewable subject to rotation and re-election at the company’s AGM, with a three-month notice period for termination by either party.

Independence and Shareholding Dr. Chung has confirmed full independence under Rules 5.09(1)–(8) of the GEM Listing Rules and holds no shares, options, or other interests in Timeless Resources or its affiliates.

Board Committee Changes Effective the same date, Dr. Chung joins the Audit, Nomination and Remuneration Committees, aligning the Board’s composition with governance requirements.

The Board extended a formal welcome to Dr. Chung upon his appointment.
