Grid Dynamics Holdings Inc. has announced a significant amendment to its existing Credit Agreement, originally dated March 15, 2022. The Fourth Amendment, finalized on May 20, 2025, extends the maturity date of the agreement to March 15, 2028, while also increasing certain financial covenants related to debt, liens, investments, and restricted payments. The amended agreement, involving JPMorgan Chase Bank as the administrative agent, provides for a secured multicurrency revolving loan facility with an initial principal amount of $30 million, which can be expanded to $50 million under specific conditions. This facility includes a $10 million letter of credit sublimit. The funds are intended for general corporate purposes, and the company can borrow, prepay, and reborrow until the termination of the facility in 2028. The obligations under this agreement are secured by the personal property of Grid Dynamics and its qualifying domestic subsidiaries.
