CHALCO (02600) Plans Joint Venture with Related Parties, Investing 300 Million Yuan for 20% Stake

CHALCO (02600) announced that on August 27, 2025, following approval at the company's fourth meeting of the ninth board of directors, the company plans to jointly establish a joint venture company with Aluminum Corporation of China Group (Chinalco Group), Yunnan Copper Co., Ltd. (Yunnan Copper), Yunnan Chihong Zinc & Germanium Co., Ltd. (Chihong Zinc & Germanium), and Chinalco Capital Holdings Co., Ltd. (Chinalco Capital).

Under the arrangement, CHALCO plans to contribute 300 million yuan through cash and physical assets, while Chinalco Group, Yunnan Copper, and Chinalco Capital plan to contribute 375 million yuan, 300 million yuan, and 225 million yuan respectively in cash. Chihong Zinc & Germanium plans to contribute 300 million yuan through cash and equity in its subsidiary companies.

Following the establishment of the joint venture, Chinalco Group, CHALCO, Yunnan Copper, Chihong Zinc & Germanium, and Chinalco Capital will hold 25%, 20%, 20%, 20%, and 15% stakes respectively. The joint venture will not become a subsidiary of CHALCO, and its financial performance will not be consolidated into the company's accounts.

As of the announcement date, the parties involved have not yet signed any specific agreements regarding the establishment of the joint venture.
