HBM Holdings (02142) Announces Clarification on Share Option Figures

HBM Holdings (02142) released a clarification regarding previously announced share option data spanning 12 January 2024 to 1 January 2026, as well as figures disclosed in its 2022, 2023, and 2024 Annual Reports and its 2024 and 2025 Interim Reports. The number of shares available for grant under the Share Option Scheme in the announcements dated 12 January 2024, 3 April 2024, 29 April 2025, 2 July 2025, 3 September 2025, 10 September 2025, and 1 January 2026 are corrected to 37.30 million, 31.47 million, 33.71 million, 30.37 million, 29.62 million, 29.42 million, and 29.22 million, respectively. The 2022 Annual Report now reflects 5.28 million outstanding options as of 31 December 2022 for Employee Participants of the 27 July 2022 grant, 9.32 million total options granted during the period, 0.23 million options lapsed, and 9.09 million options outstanding at year-end. In the 2023 Annual Report, total shares available for grant is corrected to 31.47 million (about 4.09% of issued share capital), with updated outstanding options of 5.28 million for the 27 July 2022 grant at 1 January 2023, culminating in 9.09 million remaining as of that date, while 2.42 million options remain for that grant at 31 December 2023, bringing total outstanding options to 38.19 million.

The 2024 Interim Report now shows 38.60 million shares available for grant at 1 January 2024 and 34.73 million at 30 June 2024. Outstanding options at 1 January 2024 stand at 38.19 million, with 9.61 million granted and 0.39 million exercised during the period; 41.68 million options remain outstanding at 30 June 2024. In the 2024 Annual Report, 38.60 million shares were available at 1 January 2024; 8.69 million options lapsed or were canceled during the year, leaving 37.68 million available by 31 December 2024 and 38.13 million as of the latest practicable date. Outstanding options at 1 January 2024 total 38.19 million, including 2.42 million from the 27 July 2022 grant, with 1.09 million lapsed for that grant during the year. By 31 December 2024, 22.44 million options remain for the 18 April 2023 grant. Finally, the 2025 Interim Report revises the shares available for grant at 31 December 2024 to 37.68 million, and 1.02 million options lapsed during the period, leaving 30.37 million shares available at 30 June 2025. Apart from these noted corrections, all other disclosures remain unchanged. The announcement is dated 16 February 2026.
